AMENDMENT NO. 2 TO SCHEDULE TO
This Amendment No. 2 (Amendment No. 2) amends and supplements the Tender Offer Statement on Schedule TO (as may be further supplemented or amended from time to time, the Schedule TO) originally filed by Organogenesis Holdings Inc. (the Company) pursuant to Rule 13e-4 under the Securities Exchange Act of 1934, as amended, in connection with the offer by the Company to all holders of the Companys outstanding warrants that were issued in connection with the Companys initial public offering pursuant to a prospectus dated October 10, 2016 (the IPO Prospectus), exercisable for shares of the Companys Class A common stock, par value $0.0001 per share (the Shares), which have an exercise price of $5.75 per half share (the Public Warrants), to receive 0.095 Shares in exchange for every Public Warrant tendered by the holders thereof (approximately one Share for every 11 Public Warrants tendered). The offer is subject to the terms and conditions set forth in the Amended and Restated Offer to Exchange Letter, dated July 22, 2019 (the Offer Letter) and in the related Amended and Restated Letter of Transmittal and Consent (which, together with any amendments or supplements thereto, collectively constitute the Offer).
This Amendment No. 2 is being filed to amend and supplement certain provisions of the Schedule TO and the Offer Letter as set forth herein. Except as amended hereby to the extent specifically provided herein, all terms of the Offer and all other disclosures set forth in the Schedule TO and the Exhibits thereto remain unchanged. This Amendment No. 2 should be read in conjunction with the Schedule TO and the Exhibits thereto.
